Agreement and scope
These Terms and Conditions ("Terms") are an agreement between you and Ring0 Labs, the operator of Ruhub ("Ruhub," "we," "us," or "our"). They govern Ruhub websites, waitlists, accounts, applications, APIs, and related services that link to them (the "Service").
By using the Service, you agree to these Terms and our Privacy Policy. If you act for an organization, you represent that you have authority to bind it. If you do not agree, do not use the Service.

Eligibility, accounts, and organizations
You must be at least 18 and legally able to enter this agreement. Provide accurate information, protect credentials, and promptly report suspected unauthorized access. You are responsible for activity through your account except to the extent caused by our breach or applicable law.
An organization administrator may manage members, permissions, repositories, integrations, visibility, and organization records. You must have authority for every resource, credential, instruction, and permission you provide.

The Service and beta features
The current public Service provides information, a waitlist, and account authentication. Product diagrams and records shown on the website are illustrative. Repository, agent, receipt, and lineage capabilities may be previewed but are not promised until expressly made available.
Preview or beta features are optional and unfinished. They may contain defects, change, lose data, or end without notice and may not receive the same support, availability, retention, or security commitments as a generally available service. Do not rely on them for production-critical or legally required records. Ruhub is not a substitute for backups, access controls, professional review, or legal retention systems.

Your content and repositories
You retain rights in code, files, data, instructions, prompts, records, and other material you submit ("Your Content"). You grant Ruhub a limited, non-exclusive license to host, process, reproduce, transmit, and display Your Content only to provide, secure, and support the Service, comply with law, and perform actions you request.
You represent that you have all rights and permissions needed for Your Content, collaborators, and instructions. If repository features launch, private content will be handled as confidential service data, subject to these Terms and any business agreement. Making a repository public directs us to make it accessible through public features; you remain responsible for selecting and following an appropriate open-source or other license.
We do not use private repository content to train generative AI models unless you expressly opt in or agree to separate terms. We may use aggregated or de-identified operational information to secure, analyze, and improve Ruhub.

Agents, integrations, and authority
You configure each agent's scope, credentials, connected resources, budgets, approval rules, and permissions. An agent or integration acting through authority you provide may read or change files, call services, transmit or publish content, deploy software, delete material, or incur third-party charges. You authorize the technical operations needed to perform your configured instructions.
Review permissions before enabling an agent and do not grant authority you do not possess. Disabling an integration may not reverse actions already completed. Ruhub is a coordination and record layer, not a security sandbox or a guarantee that an agent will correctly interpret natural-language instructions.

Records, receipts, and acceptance
"Accepted" means only that a user, authorized organization member, or configured policy selected that workflow state. It is not review, certification, endorsement, authorship, or approval by Ruhub.
Records and receipts describe events captured from available sources, including users, agents, integrations, models, tools, and third parties. They do not by themselves establish identity, ownership, originality, accuracy, regulatory compliance, non-infringement, or admissibility as evidence. Ruhub may preserve corrections, revocations, and later events rather than silently rewrite earlier records, but does not promise that every event is captured or immutable unless a feature expressly says so.
Ruhub records decisions; it does not make those decisions correct.

AI output and review
As between you and Ruhub, and to the extent permitted by law, you retain rights in your input and own any rights Ruhub may have in output generated specifically for you. Third-party rights are not transferred. Output may not qualify for intellectual-property protection and may contain, resemble, or depend on third-party or open-source material.
AI and agent output may be incomplete, incorrect, insecure, biased, or harmful. You must review output and secure required rights before accepting, publishing, deploying, or relying on it, especially in security, finance, health, law, employment, infrastructure, or other high-impact contexts.

Acceptable use
You may not use the Service to:
- Break law, sanctions, export controls, or another person's rights.
- Steal credentials or secrets, exfiltrate data, distribute malware, phish, spam, exploit systems, cryptomine without authorization, or test security without permission.
- Bypass rate limits, budgets, approval gates, access controls, or safety measures; overload the Service; or conceal automated abuse.
- Forge or misrepresent identity, authorship, provenance, receipts, approvals, certification, or accepted state.
- Submit unlawful personal data, sexual abuse material, threats, harassment, or content you lack permission to use.
- Use agents for legally significant decisions without the review, notice, consent, and safeguards required by law.

Ruhub IP, open source, and feedback
The Service's design, software, documentation, marks, and Ruhub-supplied content are protected by intellectual-property law. Open-source components remain governed by their licenses. No right is granted except as expressly stated here or in an applicable license.
If you voluntarily provide product feedback, you grant Ruhub a perpetual, worldwide, royalty-free right to use it without restriction or compensation. This feedback license does not apply to Your Content. You may not use Ruhub names or logos to imply sponsorship or endorsement.

Copyright reports
If you believe material on Ruhub infringes copyright, email both angel@ruhub.ai and angel@r-0.org with your identity and contact details, the protected work, the allegedly infringing material and its exact location, the right or interest you hold, a good-faith statement, and a declaration that the information is accurate. We may request a signature or other information required by law.
We may disable sufficiently identified material, notify the affected user, process a valid counter-notice, and restore material when applicable law permits. We may terminate repeat infringers. False notices may create liability. A formal designated-agent process and postal service address will be published before user-hosted public repositories launch.

Third-party services
The Service may connect to identity providers, repositories, models, agents, infrastructure, or websites. Their terms, permissions, pricing, and privacy practices govern them. Third-party outages or changes may interrupt actions or produce incomplete records. You remain responsible for third-party fees and for permissions you authorize; Ruhub is not responsible for third-party services or content.

Fees
The current public website and waitlist are free. No subscription begins merely by joining. Before charging for a future plan, we will disclose price, currency, billing period, usage measurement, taxes, renewal and cancellation terms, and obtain your agreement. You are responsible for applicable taxes other than taxes on our income.

Suspension, termination, and data
You may stop using the Service and request account or waitlist deletion. We may limit, suspend, or terminate access to address security risk, illegality, material breach, nonpayment, or harm. Where appropriate, we will provide notice and an opportunity to cure.
Available export methods and post-termination windows will be stated before repository hosting launches. We may retain data required for law, security, billing, disputes, backup integrity, or the integrity of shared or public records. Public contributions and records shared with an organization may remain with that repository or organization. We do not guarantee restoration after deletion or termination.

Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing or usage of trade.
We do not warrant uninterrupted, error-free, or secure operation, or that any record, receipt, output, integration, or result is complete, accurate, permanent, or recoverable. Nothing excludes a warranty or consumer right that cannot lawfully be excluded.

Liability and business indemnity
To the maximum extent permitted by law, Ruhub and Ring0 Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, data, or business interruption. Aggregate liability for all claims related to the Service will not exceed the greater of USD $100 or the amount you paid Ruhub in the 12 months before the event. These limits do not apply where law forbids them.
To the extent permitted by law, if you use the Service for a business or organization, you will defend and indemnify Ruhub, its affiliates, and personnel against third-party claims arising from Your Content, agents, integrations, use of output, breach of these Terms, or infringement of another's rights, except to the extent caused by Ruhub's breach, gross negligence, or willful misconduct.

Law and disputes
These Terms are governed by Mexican law, without regard to conflict rules. Before filing a claim, send a written description to both contact emails and allow 30 days for a good-faith resolution attempt. Courts in Mexico City, Mexico have jurisdiction, except where mandatory law permits you to proceed elsewhere. Nothing limits non-waivable consumer rights.
You may not use, export, re-export, transfer, or provide access to the Service in violation of applicable sanctions or export-control law, or for a prohibited end use or restricted party. We may restrict access where reasonably necessary for compliance.

Changes, notices, and general terms
We may update these Terms as the Service changes. Material changes apply prospectively after we post an updated effective date and provide additional notice where required. Continued use after they take effect means acceptance.
Notices may be delivered electronically. Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, the rest remains effective. Failure to enforce is not a waiver. You may not assign these Terms without consent; we may assign them with a reorganization or transfer of the Service. A signed order or separate agreement controls if it expressly conflicts with these Terms. Provisions concerning ownership, records, disclaimers, liability, indemnity, disputes, and general terms survive termination.
